Definitions used in the Agreement

Buyer – any individual (adult) or legal entity that has accepted this offer under the terms of this offer:

Seller – “SAN GRAFT” LLC:

Product – any product and/or products sold/offered on the https://restaura.am website by the individual or legal entity that has accepted the offer:

Courier – a person authorized by “SAN GRAFT” LLC who delivers the ordered Product to the Buyer at the location specified by the Buyer:

Order – a request by any individual or legal entity to purchase any product listed for sale on www.restaura.am and have it delivered to the Buyer:

Delivery – the act of delivering any product purchased on www.restaura.am to the Buyer by the Seller and/or a person authorized by the Seller:

1. General Provisions

1.1 “SAN GRAFT” LLC welcomes you to the www.restaura.am website and invites you to review the following terms and rules before agreeing to purchase any selected product:

1.2 On this website, “SAN GRAFT” LLC (hereinafter also referred to as the Seller) presents the products it sells, which constitutes a public offer addressed to all individuals and legal entities who have the right to conclude a Product purchase agreement with the Seller under the terms defined in this offer. The agreement concluded based on the Buyer’s acceptance of this offer is a contract of adhesion, to which the Buyer joins without any exceptions and/or objections:

1.3 The placement of an order for a Product by the Buyer, either independently or through the Seller, constitutes undeniable acceptance of the terms of this agreement. A Buyer who has confirmed an order is considered a party who has entered into a relationship with the Seller under the terms of this Agreement:

1.4 In the event of unavailability of the ordered Product(s), the Seller has the right to fully or partially cancel the Buyer’s order, about which the Seller will inform the Buyer via email (provided during order confirmation) or by phone (or any other communication means), if such option is available:

2. Subject of the Agreement

2.1 Based on a valid registered order, the Seller transfers the Product, and the Buyer, after confirming the order, pays for and receives the ordered Product in accordance with this Agreement:

2.2 The price of the Product is determined unilaterally by the Seller (published in advance on www.restaura.am) and is set in Armenian drams, representing the price/value per unit of the Product:

2.3 The Seller has the right to change the price of the offered products at any time without notice:

2.4 The Buyer must pay the full (100%) price of the Product in a single payment. The Buyer may pay in cash or non-cash (via bank transfer to the Seller’s account). The Buyer must inform the Seller in advance of the chosen payment method:

2.4.1 Cash payment option:

In case of choosing cash payment, the payment is made at the moment of delivery via the Courier. The fact of payment is confirmed by a receipt issued by the Courier. The Seller recommends keeping the receipt:

2.4.2 Non-cash payment option:

In case of non-cash payment, the Buyer must indicate the purpose of the transfer and the Product for which the payment is made:

3. Delivery Terms and Product Acceptance Procedure

3.1 The Product is delivered to the Buyer within a timeframe agreed in advance by the parties. The Buyer is solely responsible for the accuracy of the delivery address:

3.2 The delivery date is the date indicated in the acceptance certificate. The Seller’s obligations are considered fully fulfilled from the moment the Product is handed over to the Buyer. Delivery is carried out by couriers from 10:00 to 20:00 within the city of Yerevan, and if the Buyer is located outside Yerevan, other delivery times may be agreed upon mutually. In any case, delivery terms (including exact date and place) are determined by mutual agreement before delivery:

3.3 The Seller delivers Products only within the territory of the Republic of Armenia. Delivery is not carried out to locations other than the address specified by the Buyer:

3.4 The Seller is not responsible for delays in delivery, including failure to deliver on time, if caused by the Buyer (e.g., incorrect address, absence at delivery location) or by circumstances beyond the Seller’s control (force majeure such as natural disasters, accidents, etc.):

3.5 Ownership of the Product passes to the Buyer from the moment of full payment and signing of the acceptance certificate. From the moment of delivery, the risk of loss or damage transfers to the Buyer:

3.6 Upon receiving the Product, the Buyer must open and inspect it in the presence of the Courier to verify completeness and compliance with the order. By signing the acceptance certificate, the Buyer confirms that the Product matches the order, is complete, undamaged, new, and corresponds to the description on www.restaura.am:

3.7 Upon receiving the Product, the Buyer must present an identification document. If the Buyer refuses, the Courier has the right not to hand over the Product:

4. Rights and Obligations of the Parties

The Seller is obliged to:

4.1.1 Fulfill obligations under this Agreement and the legislation of the Republic of Armenia:

4.1.2 Inform the Buyer as soon as possible (within 1 hour from the order) about any changes in delivery terms and obtain consent. Communication is carried out via phone or email:

The Seller has the right to:

4.2.1 Unilaterally change the terms of this Agreement at any time, including prices, payment methods, and delivery terms. Changes come into force upon publication on the website:

4.2.2 Reject complaints regarding Product quality if the Product condition, storage, or usage rules were violated or damage occurred due to external impact:

4.2.3 Refuse to deliver or reclaim the Product if payment has not been made or is incomplete:

The Buyer is obliged to:

4.3.1 Review the Agreement and product prices before concluding the contract:

4.3.2 Provide identification documents and accurate delivery address:

4.3.3 Pay the price indicated on www.restaura.am in accordance with this Agreement:

4.3.4 Sign the acceptance certificate upon receiving the Product:

5. Return of Product or Paid Amount

5.1 Disputes are governed by this Agreement, the Civil Code of the Republic of Armenia, the Law on Consumer Protection, Government Decision No. 140 (18 February 2002), and other legal acts:

5.2 The Seller may refuse returns or refunds if the Product is not in proper condition, shows signs of use, or packaging/components are damaged:

5.4 The Buyer submits claims in writing. A written response is provided within 5 working days. A receipt confirming purchase must be provided:

6. Dispute Resolution

6.1 Disputes are resolved through negotiations, and if unresolved, through courts of the Republic of Armenia:

7. Force Majeure

7.1 Parties are not liable for failure to perform obligations due to force majeure (earthquakes, floods, war, emergencies, etc.). If it lasts more than 3 months, either party may terminate the Agreement with written notice:

8. Confidentiality and Personal Data Protection

8.1 When placing an order, the Buyer provides personal data (name, surname, phone, email, address, etc.):

8.2 The Seller uses this data to fulfill obligations:

8.3 The Seller will not disclose data except as required by law or for fulfilling obligations via partners:

8.4 By accepting this offer, the Buyer consents to the processing of personal data (collection, storage, use, transfer, etc.) for service improvement, marketing, statistical analysis, and communication via various means, including automated systems:
